Terms of Purchase

TERMS OF PURCHASE FOR OUR COURSES ON LEARNING.TOPVISIBLE.COM, UNLESS OTHERWISE AGREED.

1. GENERAL

1.1 These terms of purchase (“Terms”) always apply, unless otherwise agreed in writing, between Topvisible AB, org. no. 559017-9098, (“Topvisible”) and each business customer (“Customer”) who registers for any of the trainings organized or provided by Topvisible (collectively “Trainings” and individually a “Training”).

1.2 Topvisible and the Customer are also referred to below collectively as the “Parties” and individually as a “Party”.

2. APPLICABILITY

2.1 The Parties enter into an agreement when the Customer registers for a Training and accepts the Terms on Topvisible’s website, learning.topvisible.com, (“Website”).

2.2 By accepting the Terms, the Customer confirms that they have read the information in the Terms. By accepting the Terms, the Customer also agrees to Topvisible’s processing of such data made available or created by the Customer when participating in any of the Trainings.

2.3 Specific terms, in addition to the Terms, may be communicated for a Training in connection with the Customer’s registration. In such cases, these specific terms shall be considered an integral part of the Terms.

2.4 In the event that all or part of the specific terms communicated to the Customer at registration conflict with the provisions of the Terms, such specific terms shall take precedence.

3. THE COURSES

3.1 A course plan shall be presented to the Customer no later than at the start of the course. As the Trainings are continuously developed, the curriculum applied in each Training may change from time to time and differ from what was previously presented to the Customer on the Website or in Topvisible’s marketing materials.

3.2 Topvisible reserves the right to deviate from the descriptions of the Trainings on the Website and in Topvisible’s marketing materials, as long as the course content is essentially the same. This means that a Training the Customer participates in may not be identical to a previous Training.

3.3 The Customer must sometimes meet certain minimum requirements or prerequisites to be eligible to participate in a Training. It is the Customer’s responsibility to ensure that they meet the requirements and are eligible to participate in a course before registering.

3.4 Topvisible has the right to reject a registration application for a Training if Topvisible believes that the Customer does not meet the applicable minimum requirements or prerequisites for such Training.

3.5 Topvisible also has the right to cancel the Trainings in their entirety at any time. Topvisible shall immediately notify the Customer in the event that a Training is canceled and shall refund the paid course fee to the Customer without undue delay.

4. RESCHEDULING, CANCELLATION, AND COURSE INTERRUPTION

4.1 If the Customer wishes to reschedule a Training, this is subject to availability.

4.2 If the Customer instead wishes to cancel a Training, this can be done free of charge up to and including 7 days before the course date, after which the course fee is no longer refundable. However, the Customer has the right to transfer their course spot to someone else in such cases.

4.3 If the Customer is a consumer, they may also be subject to specific consumer protection rules regarding cancellation, more about this below under point 14.

4.4 If the Customer does not show up at the course date or does not complete a Training, for any reason not attributable to Topvisible, Topvisible reserves the right to charge the Customer the full course fee. For trainings with fixed dates, the customer may be offered another start date.

4.5 If a Training is temporarily interrupted, the Customer has the right to continue the Training when it resumes or receive a proportional refund of the course fee for the remaining part of the Training.

4.6 Courses that are recorded (so-called On-Demand) and conducted through self-study are non-refundable.

5. COURSE FEES

5.1 Topvisible reserves the right to update its prices at any time, which means that course fees available on the Website and/or in the marketing materials provided by Topvisible may differ from the final course fee at registration.

5.2 However, Topvisible does not have the right to increase the price for a Training once the Customer has already registered for the Training.

6. PAYMENTS

6.1 Payment terms and conditions will be specified during the registration process or in the invoice sent to the Customer. The Customer is responsible for ensuring that payments are made in accordance with the agreed terms.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 All materials provided during the Trainings, including but not limited to presentations, documents, and digital content, are the intellectual property of Topvisible or its licensors. The Customer is granted a non-exclusive, non-transferable license to use the materials for personal or internal business purposes only.

8. CONFIDENTIALITY

8.1 Both Parties agree to keep confidential all information disclosed during the Training that is marked as confidential or should reasonably be understood to be confidential, and not to disclose such information to any third party without prior written consent from the other Party.

9. LIABILITY

9.1 Topvisible’s liability for any claims arising out of or in connection with the Training shall be limited to the amount paid by the Customer for the Training. Topvisible shall not be liable for any indirect, incidental, or consequential damages.

10. FORCE MAJEURE

10.1 Neither Party shall be liable for any failure or delay in performance due to causes beyond their reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, or governmental actions.

11. GOVERNING LAW AND DISPUTES

11.1 These Terms shall be governed by and construed in accordance with the laws of Sweden. Any disputes arising out of or in connection with these Terms shall be resolved by the courts of Sweden, with Malmö District Court as the first instance.
